Additional Terms of Service for the Command Services Center

These Additional Terms of Service (the “Additional Terms”) govern the Customer’s use of the Command Center Services when displayed on Public Screens. These terms are supplemental to the Agreement between the Customer and Talkwalker. Any intended public use of a Command Center must be declared to Talkwalker prior to the execution of an Authorization Form. Capitalized terms not defined in these Additional Terms have the meanings given to them in the Agreement. Talkwalker may update the Additional Terms from time to time. You are responsible for regularly reviewing the most current version of the Additional Terms. When we change the Additional Terms  we will update the “Last Modified” date above.

By signing the specific Authorization Form referencing the Command Center Service, in the event of a public use case, the Customer agrees to the following:

A. Definitions 

1.1. “Customer” or “You” refers to the individual or entity (including its authorized Affiliates) that owns and/or operates a Customer Property and has executed the Authorization Form with Talkwalker. 

1.2.Customer Property” means a consumer-facing website, web application, desktop application, television network, or other medium for broadcasting to the public that is owned or controlled by the Customer. 

1.3.Command Center Services” refers to the automated data refresh dashboard displayed on a screen (e.g., computer or TV) on a Customer Property. 

1.4.Public Screen” means a monitor, screen, or video output device placed at a live event, public venue, or other publicly accessible setting displaying the Command Center Service. 

1.5.X Content” means any information, text, links, graphics, photos, audio, videos, or other materials or arrangements of materials uploaded, downloaded or appearing on X. 

1.6.X Content Public Display Terms” refers to the display requirements for X (formerly Twitter) Content available at https://developer.x.com/en/developer-terms/display-requirements

B. Conditions on Use of X Content and Restrictions 

2.1. During the term specified in the Authorization Form, the Customer may use the Command Center Service to curate and publicly display X Content on Customer Properties, subject to the following: 

a. Compliance with the X Content Public Display Terms and the X Developer Terms and Policies available at: - https://developer.x.com/en/developer-terms/agreement,  https://developer.x.com/en/developer-terms/policy, and https://developer.x.com/en/developer-terms/display-requirements 

b. X is the licensor of the Content and a third-party beneficiary of these Additional Terms, with the right to enforce and seek injunctive relief for non-compliance.

2.2. Talkwalker will provide X with a copy of these Additional Terms and the applicable Authorization Form before delivering X Content to the Customer. Talkwalker will monitor Customer’s compliance and notify X of any violations.

2.3. If X requires enforcement action, Talkwalker may assign its rights to X and cooperate fully with X in obtaining legal relief.

2.4. Use of X Content on Customer Property is limited to the following use cases: 

a. Broadcast graphics systems

b. On-set graphics/interactivity systems 

c. Public Screens 

d. Online properties 

Any other use requires prior written approval from X.

2.5. Monetization of X Content via advertisements is permitted only if the following conditions are met: 

a. Advertisements comply with X’s Advertising Policies: https://business.x.com/en/help/ads-policies. 

b. X marks are not placed near any third-party trademarks or branding or other visual, graphic, or textual elements without X’s consent.

c. X end user accounts or Content must not imply endorsement of third-party branding or advertisers unless consent is obtained. There shall be no express or implied endorsement between X and the advertiser, sponsor, and/or any other third party.

d. Images in X Content (other than avatars) may only be monetized with user consent or when reasonably anticipated by the user (e.g., contest participation or call-to-action).

2.6. Customer shall not: 

a. Use X Content (or derivatives) for purposes other than public display. 

b. Syndicate, re-syndicate, or share X Content (or derivatives) with third parties. 

c. Analyze, create derivatives of, or extract metrics from X Content (or derivatives) without X’s prior written approval.

3. Monthly Reporting 

Talkwalker may be required to report to X the following details:

a. Customer name 

b. Copy of these Additional Terms and the applicable Authorization Form 

c. Sub-client name (if applicable) 

d. Country 

e. Description of Customer Property and delivery platform (e.g., online, on-air, Public Screen)

f. Description of use case (e.g. on air X Content for a TV segment)

DISCLOSURES MADE BY TALKWALKER UNDER THIS SECTION DO NOT BREACH CONFIDENTIALITY OBLIGATIONS.

4. Termination 

4.1. The Command Center Service is contingent upon X’s provision of Content. Service may be suspended or terminated if: 

a. X determines the Customer’s use poses a commercial, strategic, or reputational risk. 

b. Customer violates these Additional Terms and fails to remedy within 30 days. 

c. Customer repeatedly violates these Additional Terms (regardless of whether the Customer has cured such violations in each instance). 

4.2. Talkwalker is not liable for interruptions or terminations resulting from X’s decisions. 

4.3. If a Local Network Affiliate loses its affiliation with the Customer, the Customer must notify Talkwalker, who will inform X. X may terminate the Affiliate’s access to X Content.
